These Terms and Conditions govern your use of the services, platforms, and technologies provided by BrickellPay or on behalf of BrickellPay (“services”). In this document, BrickellPay, Inc., a Florida corporation, may refer to itself as “BrickellPay,” “we,” “us,” or “our.” Users of BrickellPay services may be referred to as “you,” “your,” “Merchant,” or “users.”
Acceptance of Terms
Your access to and use of the Service is contingent upon your acceptance of and adherence to these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you are not permitted to access the Service. Additionally, Merchants and consumers of the services are bound by terms and conditions that apply to Payment Gateways, Processors, or as part of Payment Facilitation.
Subscriptions
Certain parts of the Service are billed on a subscription basis (“Subscriptions”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly basis. Your Subscription will automatically renew at the end of each Billing Cycle unless canceled by you or BrickellPay. You may cancel your Subscription renewal through your online account management page or by contacting BrickellPay’s customer support team.
Fee Changes
BrickellPay reserves the right to modify Subscription fees at any time. Changes in Subscription fees will become effective at the end of the then-current Billing Cycle. BrickellPay will provide reasonable prior notice of any fee changes, allowing you an opportunity to terminate your Subscription before such changes take effect.
Refunds
Refund requests for Subscriptions may be considered by BrickellPay on a case-by-case basis and granted at BrickellPay’s sole discretion.
Accounts
When creating an account with us, you guarantee that you are legally permitted to do so and that the information you provide is accurate, complete, and current at all times. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Links to Other Websites
Our Service may contain links to third-party websites or services not owned or controlled by BrickellPay. We assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
Third Party Services and Materials
Parts of our Service may include or integrate with third-party software and materials. By using our Service, you agree to allow BrickellPay to transfer content and information to and from Third Party Services. You acknowledge that BrickellPay cannot control or be responsible for any damage or loss resulting from the use of Third Party Materials or Services.
PayPal Terms & Conditions
Prior to using the Services, Sellers must accept the terms of the PayPal-Seller Agreement. Partnering with PayPal or other payment processing providers is subject to their respective terms and conditions.
Termination
BrickellPay reserves the right to terminate or suspend access to your account without prior notice for reasons including but not limited to breach of terms or misuse. You may terminate your usage of the service by notifying BrickellPay in writing.
Payment Processing
By using our Service, you agree to be bound by applicable agreements related to your payment processing provider.
Indemnification
You agree to defend, indemnify, and hold harmless BrickellPay and its affiliates from any claims, damages, or liabilities arising from your use of the Service or breach of these Terms.
Limitation of Liability
BrickellPay and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.
Disclaimer
The Service is provided “AS IS” without warranties of any kind, and BrickellPay makes no representations or warranties regarding Third Party Services or Materials.
Exclusions
Some jurisdictions may not allow certain exclusions or limitations of liability, so the limitations mentioned above may not apply to you.
Governing Law
These Terms shall be governed by the laws of Florida, United States.
Changes
BrickellPay reserves the right to modify these Terms at any time. Material changes will be notified with at least 30 days notice.
